General Conditions of Sale

The offer and sale of products on our website (www.soireeshop.it) are governed by these General Conditions of Sale. Products purchased on www.soireeshop.it are sold directly by F.LLI SORRENTINO SRL, with registered office in Italy, Via Nazionale 11/A, Company Register, Tax Code and VAT No. 01721500765, Share Capital €50,000.00 fully paid. You can request any information from www.soireeshop.it through our customer service: contact Customer Service by email at soireeshop23@gmail.com. 1. Our trade policy

1.1 The Seller offers products for sale on www.soireeshop.it and carries out its e-commerce business exclusively towards its end users who are "consumers".

1.2 "Consumer" means any natural person who is acting on sorrentinocalzature.com for purposes unrelated to their trade, business, or profession. If you are not a "Consumer," please refrain from purchasing products through www.soireeshop.it.

1.3 In consideration of its commercial policy, the Seller reserves the right not to process orders from persons other than the "consumer" or in any case orders that do not comply with its commercial policy.

1.4 These General Conditions of Sale exclusively regulate the offer, forwarding and acceptance of purchase orders for products on www.soireeshop.it between users of www.soireeshop.it and the Seller.

1.5 The General Conditions of Sale do not regulate the provision of services or the sale of products by parties other than the Seller that are present on www.soireeshop.it via links, banners, or other hypertext links. We recommend that you check their terms of sale before placing orders and purchasing products and services from parties other than the Seller, as the Seller is not responsible for the provision of services by third parties other than the Seller or for the execution of e-commerce transactions between users of www.soireeshop.it and third parties.

1.6 www.soireeshop.it reserves the right to refuse orders placed on its site if it believes that the contractual basis for the seller's policies is not adequate.

1.7 www.soireeshop.it reserves the right to eliminate or block users if it deems them unsuitable for the contractual sales policies.


2. How to conclude the contract with Soirée Shop.

2.1 To complete the purchase of one or more products on www.soireeshop.it, you must complete the electronic order form and send it electronically to the Seller, following the relevant instructions. The sales contract is stored in our archives:

2.2 After completing the purchase of one or more products by submitting the order form, you will receive an email summary of the transaction. This email contains a link to the General Terms and Conditions of Sale (Policy) and a summary of information on the essential characteristics of each product ordered, including the price (including all applicable taxes), the payment methods you can use to purchase each product, the delivery methods for the purchased products, the seller's complaint handling procedures, and shipping and delivery costs. This email also includes the Seller's contact information, geographic address, and email address, and the date by which the Seller undertakes to deliver the goods. The Seller will also provide you with a summary of the terms and conditions for exercising your right of withdrawal and the terms and conditions for returning purchased products (POST-SALES SERVICES). You will also be informed of the circumstances in which you will lose your right to withdraw from the contract. If applicable to your purchase, you will be informed that, in the event of a withdrawal, you will be responsible for the cost of returning the products. In any case, you will be reminded of the legal guarantee of conformity for the products and provided with the contact details of our after-sales service.

2.3 In the order form, displayed immediately before the purchase agreement is finalized, we will provide you with summary information regarding the essential characteristics of each product ordered, the price (including all applicable taxes or duties), and shipping costs (including any additional costs incurred by you for choosing a different and/or faster shipping and delivery method than standard). The contract is concluded when the Seller receives your order form electronically, after verifying the accuracy of your order data. The sales agreement is retained in our archives.


2.4 Product availability

Product availability refers to actual availability at the time the buyer places the order. However, this availability should be considered purely indicative because, due to the simultaneous presence of the products on other online sales channels and in the physical store, they may be sold to other customers before the order is confirmed.

Even after the order confirmation email has been sent, there may be cases of partial or total unavailability of the goods. In this case, the order will be automatically corrected by eliminating the unavailable product, and the buyer will be immediately notified by email.

If the buyer requests cancellation of the order, thereby terminating the contract, www.soireeshop.it will refund the amount paid within 14 days from the moment www.soireeshop.it becomes aware of the buyer's decision to terminate the contract.

2.5 Billing

An invoice can only be requested upon order confirmation by completing the dedicated forms.

Invoicing requests cannot be accepted after order confirmation or in the following days.



2.6 Safeguard clause

In the event that one of the clauses of these General Conditions of Sale is invalid for any reason whatsoever, this shall in no way compromise the validity and compliance with the other provisions contained in these General Conditions of Sale.

2.8 Applicable law and competent court

These General Conditions of Sale are governed by and interpreted in accordance with Italian law, without prejudice to any other mandatory prevailing law of the country of habitual residence of the buyer. Consequently, the interpretation, execution and termination of the General Conditions of Sale are subject exclusively to Italian law and any disputes inherent and/or consequent to them must be resolved exclusively by the Italian judicial authority. In the event of a dispute, the competent court is mandatorily attributed to the Court of residence (or domicile) of the Consumer pursuant to art. 66-bis of Legislative Decree 206/2005.

Consumers residing in Europe are informed that the European Commission has established an online platform that provides an alternative dispute resolution tool. This tool can be used by European consumers to resolve, out of court, any dispute relating to contracts for the sale of goods and services concluded online and/or arising therefrom. 3. Guarantees and indication of product prices

3.1 Only premium-quality, luxury branded products are offered for sale on www.soireeshop.it. These products are purchased directly by the Seller from manufacturers and boutiques authorized to sell the brands listed on www.soireeshop.it, carefully selected for their rigorous quality controls.

3.2 The Seller does not sell used, irregular or lower quality products than the corresponding standards offered on the market.

3.3 The essential product characteristics are presented on www.soireeshop.it within each product page. The images and colors of the products offered for sale on www.soireeshop.it may, however, differ from the actual colors due to the Internet browser and monitor used.

3.4 Product prices may be subject to change. Please check the final price before submitting your order form.

3.5 Purchase requests from countries not included among those displayed in the SHIPPING section cannot be accepted by the Seller.

3.6 All products come with an identification tag secured with a disposable seal. We ask you not to remove the tag and the related seal from the purchased products, of which they form an integral part. Should you exercise your right of withdrawal, the Seller reserves the right to refuse the return or not fully refund the sums paid for the purchase, in relation to those products that are missing the relevant tag or that have been altered from their essential and qualitative characteristics or that have been damaged, as further clarified in paragraph 8.10.

3.7 The products sold on www.soireeshop.it are protected by the legal guarantee of conformity of the products pursuant to articles 128 et seq. of the Consumer Code.

3.7.1. Consumer rights regarding the guarantee of conformity of the purchased item

3.7.2. Articles 128-135 of the Consumer Code (Legislative Decree no. 206/2005) require consumers to ensure that the purchased goods conform to the characteristics and quality offered. The seller is therefore responsible for any defects in conformity existing at the time of delivery of the goods for all products sold in its stores.

3.7.3. The lack of conformity exists when the product:

a. does not conform to the description or does not possess the qualities presented by the seller.

b. finds defects that limit its usual performance (e.g. poorly sewn buttons, faulty stitching).

3.7.4. The Legal Guarantee protects exclusively the so-called "consumer," i.e., the natural person who, having purchased a product, is acting for purposes unrelated to any entrepreneurial, commercial, artisanal, or professional activity they may carry out. Therefore, it does not apply to products purchased with an invoice and VAT number by professionals and businesses.

3.7.5. The legal guarantee lasts for 2 years from the date of delivery of the goods, regardless of the existence of any other guarantees issued by the manufacturer and their duration.

Any lack of conformity covered by the legal guarantee that becomes apparent within this period must be reported by the consumer within two months of discovering the defect. To ensure that the defect is not the result of improper conduct on the part of the buyer:

a. the products must not have been used, worn, washed or damaged;

b. the identification tag must still be attached to the products with the single-use seal;


In the event of a lack of conformity duly reported within the deadline, the consumer has the right to have the seller restore the conformity of the goods, free of charge, through repair or replacement, or to an appropriate price reduction or termination of the contract. In particular, the consumer has the right:

a. to repair or replace the goods, at his option, unless the remedy requested is impossible or excessively burdensome compared to the other; the remedy requested is "excessively burdensome" when it imposes unreasonable costs on the seller compared to the alternatives, taking into account the value of the intact good, the extent of the defect and the possibility of resorting to alternative remedies without significant inconvenience for the consumer;

b. alternatively (where the first two remedies are impossible or excessively onerous, or have not been carried out within a reasonable timeframe, or previous repairs or replacements have caused significant inconvenience to the consumer), to request a price reduction or termination of the contract.

Competent court

The General Conditions of Sale are governed by Italian law and in particular by Legislative Decree no. 206 of 6 September 2005 on the Consumer Code, with specific reference to the legislation on distance contracts, and by Legislative Decree no. 70 of 9 April 2003 on certain aspects concerning electronic commerce.


3.9.1. Modification and update

The General Conditions of Sale are amended from time to time, also in light of any regulatory changes. The new General Conditions of Sale will be effective from the date of publication on www.soireeshop.it


4. Payments

4.1 To pay for the products and related shipping and delivery costs, you may use one of the methods indicated on the order form. Under no circumstances will you be charged costs exceeding those actually incurred by the Seller, in relation to the payment method you have chosen.

4.2 In case of payment by credit card, your financial information (for example, your credit/debit card number or expiration date) will be forwarded, via encrypted protocol, to Banca Sella or other banks that provide the relevant remote electronic payment services, without third parties having any access to it. Furthermore, this information will never be used by the Seller except to complete the procedures relating to your purchase and to issue refunds in the event of product returns following the exercise of your right of withdrawal, or when necessary to prevent or report fraud on sorrentinocalzature.com to the police. The price for the purchase of the products and the shipping and delivery costs, as indicated on the order form, will be charged to your current account upon shipment of the purchased products.

4.3 If you purchase with Scalapay, you'll receive your order immediately and pay in the number of installments you've chosen. You acknowledge that the installments will be assigned to Incremento SPV Srl, related parties, and their assignees, and you authorize such assignment.

5. COUPON

5.1 COUPONS are personalized codes that allow you to take advantage of a discount on purchases made on www.soireeshop.it.

5.2 The INSERT COUPON box appears on the first page of the purchase process: once you have added the items to your SHOPPING BAG, enter your code in the USE A COUPON CODE box and click APPLY.

5.3 Limitations on the use of the COUPON A). The value COUPON cannot be converted into cash under any circumstances; B). It is not possible to use multiple COUPONS in the same order; C). It is not valid for all discount levels on the site.

5.4 If for any reason you are not satisfied with your order, you can return the item to which you applied the COUPON by following the standard return procedure available in the Returns section. Once your return has been accepted, you can arrange to receive a new COUPON with our customer service by sending a request to soireeshop23@gmail.com. 6.1 To learn about the specific shipping and delivery methods for products, go to the Shipping section, within the INFORMATION area. Please pay close attention to the information in this section because the information contained therein forms an integral and substantial part of these General Conditions of Sale and, therefore, is deemed to be fully known and accepted by you at the time of submitting the order form.

7. Right of withdrawal

7.1 For purchases outside the EU, returns are at the customer's expense.

7.2 You have the right to withdraw from the contract concluded with the Seller, without any penalty and without specifying the reason, within fourteen (14) days from the day of receipt of the products purchased on www.soireeshop.it. In some specific cases, duly reported in the Right of Withdrawal section, it will be possible to exchange the chosen item for another.

8. To withdraw from the contract, you can use the Return Form (compliant with the standard form pursuant to Article 49, paragraph 4 of the Consumer Code) to be completed and submitted directly online through the website www.soireeshop.it, or draft and send the Seller another explicit declaration of your decision to withdraw from the contract. If you choose to use the Return Form to be submitted directly online through the website www.soireeshop.it, the Seller will send you confirmation by email that your withdrawal request has been received. If you choose to submit another withdrawal declaration, the burden of proving the correct and timely exercise of the right of withdrawal will fall on you.

8.1 Once you have exercised your right of withdrawal from the contract, you must return the products to the Seller by handing them over to the courier for shipment within fourteen (14) days from when you communicated to the Seller your decision to withdraw from the contract.

8.2 The only costs you will be responsible for are those for returning the purchased products, unless the Seller has expressly exempted you from such costs at the time of purchase and on the further condition that you use the carrier indicated by the Seller in the Return Form.

8.3 If you decide to use the shipping agent indicated by the Seller in the Return Form, you will not be responsible for the costs of returning the purchased products. The costs of returning the purchased products will be paid directly by the Seller on your behalf, thus releasing you from any obligation to pay the shipping agent. The Seller will deduct from your refund a flat rate equal to the standard shipping cost of the purchased products to cover the return cost. Furthermore, from the moment the purchased products are returned to the shipping agent indicated by the Seller in the Return Form, the Seller releases you from any liability in the event of loss or damage to the products during transport.

8.4 If you choose a shipping method other than the one indicated by the Seller in the Return Form, you will be responsible for paying the return shipping costs. In this case, you will be refunded an amount equivalent to the cost of the purchased products. Any additional costs incurred by you for choosing a shipping and delivery method other than and/or faster than the standard one will not be refunded. In this case, you may remain responsible for any loss or damage to the products. Otherwise, the Seller may retain the products, in addition to any sums already paid for their purchase.

8.5 If, upon delivery of the products previously contracted with the Seller, the buyer refuses delivery of the package (without a just cause communicated in time to our customer service: soireeshop23@gmail.com) or does not provide a complete shipping address, he/she will not be entitled to a full refund of the sums already paid to the Seller. In this case, an amount equal to the shipping cost will be deducted from the expected refund (outward: to the customer and return: to the Seller). The Seller will specifically communicate this to you via email. Within 3 days of sending the email with which you will be informed of the amount deducted from the refund, you may choose to receive back, at your own expense, the products in the condition in which they were returned to the Seller, by notifying the Seller according to the methods that will be communicated to you.



9. Refund times and methods

9.1 After the products have been returned, the Seller will carry out the necessary checks to ensure their conformity with the terms and conditions set forth in paragraph 8. If the checks are successfully completed, the Seller will send you, via email, confirmation of acceptance of the returned products. If the checks are not successfully completed, the Seller will notify you, via email, of the detected decrease in value of the returned products, resulting from your failure to comply with the conditions set forth in letters b), c), and d) of the previous paragraph 8.3. At the same time, the Seller will also notify you of the amount that will be deducted from the sums you paid for the returned products; alternatively, you have the option of receiving the products back, at your own expense, in the condition in which they were returned to the Seller, as set forth in the previous paragraph 8.10.

9.2 Whatever payment method you used, the refund, whether full or partial, is activated by the Seller as quickly as possible and in any case within fourteen (14) days from the date on which the Seller became aware of the exercise of your right of withdrawal, after verifying the correct execution of your right of withdrawal and checking the returned products.

9.3 The Seller will refund you using the same payment method you used to purchase the returned products, unless you have expressly agreed with the Seller to use a different payment method and provided that you do not incur any additional costs as a result of the refund. If the recipient of the products indicated on the order form is not the same as the person who made the payment for their purchase, the refund, in the event that you exercise your right of withdrawal, will be made by the Seller to the person who made the payment.

9.4 The value date of the refund is the same as the debit; therefore, you will not suffer any loss in terms of bank interest.

9.5 The Seller will specify the shipping method for returning products: GLS courier in Italy or BRT in Sardinia, Sicily, and outside Italy. The customer must use the pre-printed adhesive label attached to the package containing the products (this label is only available for BRT orders outside Italy). You can return the products to the Seller without having to pay the necessary shipping costs yourself. For returns within Italy, the label will be applied by the courier upon collection. In accordance with the terms and conditions established for exercising the right of withdrawal, this method allows the Seller to directly pay the costs of returning the purchased products on your behalf, freeing you from any obligation to pay the shipping method. This method also allows you to verify the location of each package at any time, freeing you from any liability in the event of loss or damage to the products during transport. For returns from Russia and the rest of the world, the entire operation is the responsibility of the customer, who can independently decide which courier to use for the return. Only the tracking number of the package is required, which the customer can send to soireeshop23@gmail.com

9.6 If you decide to use a carrier other than the one indicated by the Seller to return the products, you will be responsible for the shipping costs, including liability in the event of loss or damage to the products.

11. Applicable law and dispute resolution

11.1 The General Conditions of Sale are governed by Italian law and in particular by Legislative Decree no. 206 of 6 September 2005 on the Consumer Code, Chapter I, “Consumer Rights in Contracts,” with specific reference to the legislation on distance contracts, and by Legislative Decree no. 70 of 9 April 2003 on certain aspects concerning electronic commerce.


12. Modification and updating

12.1 The General Conditions of Sale are amended from time to time, also in light of any regulatory changes. The new General Conditions of Sale will be effective from the date of publication on www.soireeshop.it.



PASSING OF RISK CLAUSE

Pursuant to Article 63 of the Consumer Code, the "risk of loss or damage to the goods for reasons not attributable to the seller" is transferred to the consumer only when the latter, or a third party designated by the latter and other than the carrier, physically takes possession of the goods.

Any damage to the packaging and/or product, or any discrepancy between the package number and the information, must be immediately reported in writing on the courier's delivery note. Where permitted by applicable law, once the courier's document has been signed without the customer raising any objections, the customer will not be able to raise any objections regarding the external characteristics of the delivered package.

The customer must inspect the Products immediately upon delivery to ensure they conform to the order, to verify any missing products, or to report any obvious defects. If the customer has signed the delivery document without reservation, they may not subsequently raise any objections, except for hidden defects. In the event of damage to the product or a discrepancy, the clauses formulated above limit the objections the consumer may raise if no objections are raised with the courier immediately upon delivery in the event of non-hidden defects (an action that the consumer is not required by law to perform or that the consumer may not perform, for example, if the delivery is made to a third party).



LIMITATION OF LIABILITY.

Except in cases of willful misconduct or gross negligence, F.LLI SORRENTINO SRL will not be liable in any way to the Customer for indirect or consequential damages that may arise from the purchase of products offered for sale on the site. In the latter, a limitation of liability relating to possible inappropriate graphic representations of the product images on the site, according to the wording of the clause, even if not attributable to factors beyond the seller's control (e.g., the effect of the internet browser or monitor used by the consumer): "3. Purchase procedure. The site displays, for each selected Product, an image of the Product itself, the unit price, the color and sizes. The images are used for the sole purpose of illustrating the Product; F.LLI SORRENTINO SRL cannot therefore be held liable for any inappropriate graphic representation of the products presented on the site."

Reproduction of www.soireeshop.it or its contents, in whole or in part, in any form, without the express written consent of Soirée Shop is prohibited.

Soirée Shop has the exclusive right to authorize or prohibit the direct or indirect, temporary or permanent reproduction, in any manner or form, in whole or in part, of www.soireeshop.it and its contents. With regard to the use of www.soireeshop.it, you are only authorized to view the website and its contents.
